Welcome to Nexial Labs. By accessing and using our software development, technology consulting, and digital platform services, you agree to comply with the following terms and conditions. Please read them carefully before contracting our services.

1. Acceptance of Terms

The use of Nexial Labs' services (hereinafter, "the Company") constitutes full and unreserved acceptance of each and every provision included in this document. If you do not agree with any of these terms, please refrain from using our services.

2. Scope of Liability

Nexial Labs operates as an independent software laboratory. Therefore:

• Service availability: We are not responsible for interruptions external to our infrastructure (internet outages, third-party service failures, etc.).
• Software use: The client assumes full responsibility for the use of the systems and applications developed by Nexial Labs. The Company will not be liable for direct or indirect damages arising from misuse or the inability to use the delivered software.

3. Warranty Disclaimers

Services and software are provided "as is" and on an "as available" basis. We do not guarantee that the service will be uninterrupted, timely, secure, or free of technical errors. Any error in data processing or in integrations with third-party systems is the responsibility of their respective administrators.

4. Intellectual Property, Trademarks, Logos, and Visual Assets

Nexial Labs grants its clients a limited, non-exclusive, non-transferable, and revocable license to use the developed software. This license does not permit modification, creation of derivative works, reverse engineering, sale, or redistribution of the software without express written authorization from Nexial Labs.

All source code, designs, logos, trade names, and content generated by Nexial Labs are the exclusive property of the Company and are protected under international intellectual property laws.

4.1 Trade Names, Logos, and Visual Assets of the SaaS Templates

The trade names, logos, characters, illustrations, photographs, designs, interfaces, templates, demonstrations, sample websites, graphic themes, multimedia assets, artificial intelligence–generated content, and other visual elements provided by Nexial Labs are part of its products and services, and have been created for demonstrative, commercial, educational, or visual identity purposes.

By using any of the services offered by Nexial Labs, the User expressly acknowledges that such materials were developed by Nexial Labs as part of a SaaS platform and that their delivery does not constitute a declaration of registrability nor an automatic assignment of intellectual property rights.

The trademarks, trade names, logos, and designs included in the templates are for illustrative and commercial demonstration purposes only. Any resemblance to existing trademarks, logos, trade names, characters, establishments, or products is strictly coincidental and does not represent any intent of imitation, unfair competition, commercial association, or infringement of third-party rights.

Nexial Labs does not guarantee that any of the names, logos, or visual identities included within its products are available for trademark registration in any country. Before commercially using any of these elements, it will be the User's sole responsibility to conduct the corresponding searches before the competent intellectual property authorities of their country and, if applicable, to carry out whatever legal registration they deem appropriate.

Contracting any of Nexial Labs' services does not transfer the intellectual property of the designs, logos, characters, trade names, photographs, illustrations, or other graphic assets, unless a separate contract expressly signed by both parties establishes otherwise.

4.2 Trademark Registration by the User

Should the User register as a trademark any trade name, logo, or visual identity originally developed by Nexial Labs, such registration will not grant the User any rights to claim, restrict, prevent, sue, or take legal action against Nexial Labs regarding the prior, current, or future use of such materials within its own products, services, demonstrations, advertising, documentation, portfolios, websites, or promotional materials.

Likewise, the User acknowledges that the visual assets form part of Nexial Labs' creative estate and agrees not to initiate claims, lawsuits, administrative proceedings, arbitrations, or any other legal action arising from the use of such elements by Nexial Labs within the ordinary course of its business activities.

The User agrees to hold Nexial Labs harmless from any claim brought by third parties arising from the use, modification, commercialization, or registration carried out by the User itself with respect to the names, logos, or visual identities supplied by the platform.

Should any conflict arise regarding intellectual property rights over a trade name or logo supplied by Nexial Labs, the maximum liability of Nexial Labs shall be limited, at its discretion, to replacing said name or visual identity with an equivalent one within the platform, without this giving rise to any right to indemnification, damages, losses, lost profits, or any other economic compensation.

4.3 License to Use Trade Names and Visual Assets

The trade names, logos, characters, illustrations, and other visual assets included in the SaaS templates are granted to the User under a non-exclusive, revocable, non-transferable license limited to the operation of their business. This license does not constitute an assignment of copyright, intellectual property, or industrial property rights in favor of the User.

The User declares to have read, understood, and fully accepted this notice upon contracting or using any of the services provided by Nexial Labs.

5. Confidentiality

Nexial Labs is committed to maintaining the confidentiality of the technical and business information shared by its clients during project development, as well as to not disclosing proprietary source code to third parties without express authorization.

6. Jurisdiction

For any legal dispute related to the use of Nexial Labs' services, the parties submit to the jurisdiction of the competent courts in the city of Mérida, Yucatán, waiving any other venue that may correspond to them.
